5. Payment Terms

Payment for services is due upon receipt of an invoice unless otherwise agreed upon in writing. GrowDM reserves the right to discontinue services in the event of late or non-payment.

• Upfront Payment: Clients may be required to make an upfront payment or deposit before services commence.
• Ongoing Services: Payments for ongoing services such as monthly retainer agreements must be made on or before the due date each month.
• Late Payment Fees: GrowDM may charge late fees for overdue payments, and failure to make timely payments may result in service suspension or termination.

6. Intellectual Property

All intellectual property rights, including but not limited to logos, content, designs, and materials created by GrowDM for the client, remain the property of GrowDM until full payment for the services is received.

Upon full payment, clients receive non-exclusive, non-transferable rights to use the materials created for their specific project.

Clients agree not to use or distribute any materials created by GrowDM without proper authorization.

7. Confidentiality

GrowDM and the client agree to maintain the confidentiality of proprietary or sensitive information shared during the course of the project.

This includes but is not limited to business plans, marketing strategies, pricing information, and client details. Both parties agree not to disclose such information to any third parties without prior written consent.

8. Limitation of Liability

GrowDM will not be held liable for any direct, indirect, incidental, or consequential damages arising out of or related to the use of our services, website, or any reliance on the information provided.

Clients acknowledge that results from digital marketing efforts may vary, and GrowDM does not guarantee specific outcomes or returns on investment.

9. Termination of Services

Either party may terminate the service agreement at any time by providing written notice. However, clients are responsible for any outstanding fees up until the termination date.

GrowDM reserves the right to terminate or suspend services for any client who fails to comply with these terms, engages in illegal activities, or behaves in a manner deemed inappropriate or damaging to the company’s reputation.

10. Third-Party Services and Tools

GrowDM may use third-party tools, platforms, or services to deliver its digital marketing services. GrowDM does not own or control these third-party platforms and is not responsible for any issues arising from their use, including data breaches, downtime, or changes to their terms of service.

11. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Bangladesh. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Bangladesh.
